Businesses that operate for a substantial period of time may well develop unique systems which provide them an “edge” in the market, or have complex methods of dealing with particular problems that are specific to the goods or services they provide to their customers and clientele.
Some typical things that may constitute trade secrets are: processes in place to filter and engage with clients and business partners, programs and training tools used to deal with corporate or business affairs, formulas, recipes, devices and intellectual property that enhances the competitive nature of the business of company. This is not an exhaustive list, and other things may be considered as trade secrets depending on the kind of business or trade that the individual or company engages with.
Naturally, the business which has these trade secrets will treat them as important business assets. Accordingly there will be a strong interest in protecting them from being pilfered, leaked, stolen, copied, or otherwise interfered with by employees, partners, contractors, agents, competitors and other third parties who may come to know them.
Protecting trade secrets can take various forms, both preventative and remediary. Preventative action will involve creating systems and structures that ensure that your trade secrets are properly identified, your partners, employees, contractors and agents are notified of their sensitivity, and liabilities are imposed through contractual obligations where possible. Remediary protection will involve taking legal action to prevent expected and continuing infringement of your trade secrets. Some of the steps that can be taken are outlined in further detail in our section concerning “Confidential Information” and how to safeguard it.
