Businesses that conduct even part of their operations online should consider the legal implications of dealing with client or employee information that is private, confidential or otherwise restricted. Not only is it embarrassing and potentially ruinous to the business’ reputation, but actions that constitute a breach of privacy and equitable breach of confidence can give rise to very serious legal liabilities.

In the event that any part of a business is conducted online, whether through a website or merely through email communication, it is important that the business or corporate entity have a privacy policy in place to outline the rights and obligations of parties engaging in communication and trade, and also provide operational guidelines for the use and storage of sensitive data.

Sensitive data that can be considered private will ordinarily include any information that can fall under any of the following category headings:

  • Individuals’ full names;
  • Individuals residential or postal addresses;
  • Bank account details;
  • Passwords, keywords and other financial identifiers;
  • Instructions given to a particular person for a particular purpose, such as orders or directions relating to an aspect of a business venture, project or programme;
  • Anything specifically marked, described or identified as private, confidential, or privileged for a particular person or for a particular purpose; and
  • Any information that has been given to a business or an individual, in circumstances where that information is not reasonably considered to be open for public perusal or broadcast.

These policies must consider the specific needs and requirements of each online enterprise and ensure that all of these needs and requirements are reflected in the privacy policy. Of course, once such a policy is instituted, it must be executed. For this purpose, it is important to have mechanisms through which that privacy policy is executed, monitored and amended over time when needed.
