Broadly speaking, organisations who choose to incorporate are small non-commercial community groups.

Types of associations that often incorporate are:

  • Sporting groups;
  • Musical societies;
  • Social groups;
  • Pensioner associations;
  • Arts and crafts groups;
  • Ethnic and cultural groups; and
  • Environmental groups.

The steps to incorporate your association can vary and are dependent on whether your group is an unincorporated association, a company, a co-operative or is starting out. 

What is incorporation?

In general terms, an incorporation is a system of registration which can give a community group, club or association specific legal rights responsibilities. An incorporated association is a separate legal entity from its members and under certain circumstances incorporation can provide some protection for the office holders from debts and liabilities that are incurred by the club or association. 

Incorporating a new association

If you are looking to incorporate your club or association, there are a number of steps involved and often it can be helpful to get legal advice on the process of incorporation. Broadly speaking, the steps to incorporate your club or association are: 

  1. Five or more individuals of the club authorise the application for incorporation which generally includes:
    • A copy of the association's proposed constitution; and
    • A statement of the association's objects.
  1. Reserve a name for the incorporated club or association by lodging an Application for Reservation of Name with the prescribed fee, to NSW Fair Trading. 
  1. Lodge the Application for Registration with the prescribed fee and relevant documents with NSW Fair Trading.
