Well, as Solicitors, we can assist with not only set-up of the Company, including its initial Constitution, but with on-going advice about how your Company's Constitution might be amended or how it is that you might want to address the Corporate Governance issues that may arise within your Company.

Corporations Law

We have acted for Companies and assisted solvent Companies through difficult periods in their corporate life. For example, we have assisted in the resolution of disputes arising out of corporate deadlock.

We have also assisted in the transfer of shares and the resolution of disputes generally, regarding Directors, Shareholders or Secretaries. We also handle matters stemming from the complex issues arising out of the Corporations Act 2001.

Insolvency Law

We are familiar with the general provisions of the Corporations Legislation, including the provisions that relate to Administration, Receivership and Liquidation of Companies. We understand that Companies may experience financial trouble; and we are able to assist Australian Companies in their attempt to resolve their financial problems and troubles.

We have acted both for, and against, Liquidators. We have acted for Liquidators in obtaining Judgment against individuals indebted to Companies in Liquidation. We have defended Australian Companies on the receiving end of a Statutory Demand. We have assisted Companies in preventing an Order for Winding up of the Company being made; and we have also assisted Companies in bringing various Applications to the Supreme Court of New South Wales, including Applications to terminate the winding up of a Company.

We are familiar with preferences, unfair loans and other Corporate Insolvency type matters.
